Sentient Voice Website Terms of Use

These Website Terms of Use ("Terms") govern your access to and use of the website located at www.sentientvoice.com and any related pages, subdomains, and online content operated by Long Beach Networks LLC, doing business as Sentient Voice ("Sentient Voice," "we," "us," or "our") (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

These Terms govern only your use of the Site. Your use of Sentient Voice's hosted unified-communications services (the "Services") is governed by a separate Master Services Agreement or Order Form between Sentient Voice and the customer of record. In the event of a conflict between these Terms and that agreement with respect to the Services, that agreement controls.

1. Eligibility

The Site is intended for users who are at least 18 years old and who have the legal capacity to enter into a binding agreement. By using the Site, you represent that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Your continued use of the Site after the updated Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

3. Permitted Use

Subject to your compliance with these Terms, Sentient Voice grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your personal or internal business purposes, including evaluating Sentient Voice's products and services.

4. Prohibited Conduct

You agree not to, and not to attempt to:

• Access, use, or copy any portion of the Site for any purpose not expressly permitted by these Terms.
• Use the Site in any manner that could damage, disable, overburden, or impair it, or interfere with any other party's use of the Site.
• Use any robot, spider, scraper, data-mining tool, or other automated means to access, monitor, or copy any portion of the Site or its content, except for search engines indexing publicly available pages in accordance with our robots.txt file.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Site or any software made available through it.
• Probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures, except under a written authorization from Sentient Voice (such as a coordinated vulnerability disclosure program).
• Use the Site to transmit malware, ransomware, viruses, or any other harmful code.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Site to send unsolicited commercial messages or to harvest contact information.
• Frame, mirror, or republish any portion of the Site, except as expressly permitted by us in writing.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices on the Site.
• Use the Site in violation of any applicable law, regulation, or third-party right.

5. Accounts and Registration

Certain features of the Site may require you to register, log in, or provide information about yourself (for example, requesting a demo, downloading content, or accessing a customer portal). You agree that any information you provide will be true, accurate, current, and complete, and you will keep it updated. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activities that occur under those credentials. Notify us promptly of any unauthorized use of your account.

6. Intellectual Property

6.1 Site Content

The Site and all content made available through it — including text, graphics, logos, images, audio, video, software, data, documentation, design, layout, and the selection and arrangement of content — are owned by Sentient Voice or its licensors and are protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws.

6.2 Trademarks

"Sentient Voice," the Sentient Voice logo, and other Sentient Voice names, logos, and slogans are trademarks of Long Beach Networks LLC. You may not use these marks without our prior written permission. All other trademarks appearing on the Site are the property of their respective owners.

6.3 Feedback

If you provide us with suggestions, comments, ideas, or other feedback about the Site or our products and services ("Feedback"), you grant Sentient Voice a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, and exploit the Feedback for any purpose, without obligation or compensation to you. You also waive any moral rights you may have in the Feedback to the extent permitted by law.

7. Your Submissions

If you submit content to the Site (for example, through a contact form, support inquiry, or job application), you represent that you have the right to submit it and that it does not violate any law or third-party right. You grant Sentient Voice a non-exclusive, worldwide, royalty-free license to use, reproduce, and process the submission for the purpose of responding to it, providing the Services, and operating our business. We are not obligated to maintain any submission in confidence except as required by our Privacy Policy or by law.

8. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Sentient Voice. We provide these links for convenience only and do not endorse, sponsor, or assume responsibility for the content, policies, or practices of any third-party website or service. Your use of any third-party website or service is at your own risk and subject to that third party's terms and policies.

9. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read and understood our Privacy Policy.

10. Copyright Complaints (DMCA)

Sentient Voice respects the intellectual property rights of others and expects users to do the same. If you believe that material on the Site infringes your copyright, please send a notice that complies with 17 U.S.C. § 512(c)(3) of the Digital Millennium Copyright Act to our designated agent:

A valid notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing, with sufficient information for us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. We may remove or disable access to allegedly infringing material and may terminate accounts of repeat infringers in appropriate circumstances.

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SENTIENT VOICE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SENTIENT VOICE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ON THE SITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SENTIENT VOICE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF SENTIENT VOICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SENTIENT VOICE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU; IN THOSE JURISDICTIONS, SENTIENT VOICE'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sentient Voice and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit through the Site. Sentient Voice reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Termination and Suspension

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we believe that you have violated these Terms. Upon termination, your right to access the Site will immediately cease. The provisions of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 16, you and Sentient Voice agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, and you consent to the personal jurisdiction of those courts.

16. Informal Dispute Resolution

Before filing any claim arising out of or relating to these Terms or your use of the Site, you agree to attempt to resolve the dispute informally by contacting us at legal@sentientvoice.com and providing a written description of the dispute, your contact information, and the relief you seek. We will attempt to resolve the dispute through good-faith negotiation for at least sixty (60) days before any claim is filed. This Section does not limit either party's right to seek injunctive or other equitable relief at any time to protect intellectual property or confidential information.

17. General

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sentient Voice with respect to the Site and supersede all prior or contemporaneous communications and proposals concerning the subject matter. These Terms do not govern the Services, which are governed by a separate written agreement.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. No waiver will be effective unless made in writing.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice or consent.

17.5 No Agency

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Sentient Voice.

17.6 Notices

We may provide notices to you by posting on the Site, by email to any address you have provided, or by any other reasonable means. Notices to Sentient Voice must be sent to legal@sentientvoice.com or to the mailing address in Section 18.
